- The Financial Services Authority (Otoritas Jasa Keuangan - "OJK") has decided to introduce a new mechanism for the communication of matters that are considered significant during the auditing of financial statements ("Main Audit Matters") through public accountants’ ("Accountants") reports on audited financial statements within the capital market through the issuance of Regulation No. 30 of 2023 ("Regulation 30/2023"), which has been in force since 29 December 2023.
- In essence, any entities that have to comply with notions of public accountability and that are operating within the capital market ("Entities") are now required to submit Accountants’ reports ("Reports") on audited financial statements by disclosing Main Audit Matters to the OJK. However, in terms of any prospective entities that engage in public offerings and public companies specifically, disclosures of Main Audit Matters must be incorporated into Reports for the current period.
- Disclosures of Main Audit Matters are mandatory within the bodies of Reports that result in fair opinions, fair opinions with exceptions or unfair opinions. In this regard, the disclosure mandate should be applied gradually in accordance with the following timeline: 1) For Entities that engage in public offerings and mutual funds with securities that are listed and traded through the stock exchange: applicable to 2023 annual financial statements; 2) For Entities that engage in mutual funds with securities that are not listed at the stock exchange: applicable to 2024 annual financial statements; and 3) Other Entities: applicable to audits of initially submitted annual financial statements.
- It is important to note that any non-compliance with the above-described disclosure of Main Audit Matters will result in the imposition of administrative sanctions by the OJK, which may range from written reprimands to the cancellation of registrations.
