Corporations Defined as Legal Subjects under New Indonesian Criminal Code

  • Corporate crime is now regulated under Law No. 1 of 2023 on the Indonesian Criminal Code (Kitab Undang-Undang Hukum Pidana "KUHP"). In comparison, the previous framework of Wetboek Van Strafrecht recognized the concept of corporate liability, as imposed upon the managements of corporations, but did not recognize corporations as legal subjects under criminal law.   
  • Corporate crimes can be committed by parties working either within or outside the organizational structures of corporations, which may include legal entities such as limited liability companies, foundations, cooperatives, state-owned enterprises, regionally owned enterprises and their equivalent.
  • According to Regulation of the Supreme Court of the Republic of Indonesia  No. 13 of 2016 on Procedures for the Settlement of Criminal Acts Committed by Corporations, it is important to note that a corporation can be held accountable if a given crime benefits said corporation or if the corporation in question fails to take the precautions necessary in order to prevent the relevant offense.
  • The former Head of the Financial Transaction Reports and Analysis Center (Pusat Pelaporan dan Analisis Transaksi Keuangan "PPATK") has affirmed that corporate criminal liability justifications and explanations can be submitted by administrators, commanders, controllers, beneficial owners and corporations themselves, provided that any reasons that are given relate directly to the criminal offenses that corporations are being charged with. This provision is in line with Article 50 of the National Criminal Code.
